Understanding the Human Factor in M&A

M&A isn't just about spreadsheets

When it comes to investment and M&A, financial performance is always a central focus. Historic results, margins, and balance sheets are examined in detail. But numbers alone rarely tell the full story. For investors, the real question is not about the past, but about the future: how reliable are the forecasts, and how credible is the path to sustainable earnings?

Why Forecasting Matters More Than History

This is where confidence can be won or lost. Even in smaller businesses — often with fewer than 200 people — the quality of forecasting and the ability to demonstrate growth potential are scrutinised carefully. Investors want to be assured that projections are not only realistic, but underpinned by a leadership team capable of delivering them.

The Human Factor in Investor Confidence

That leadership team is, in many ways, the most critical element of due diligence. Background, experience, tenure, and ambition all matter. Investors expect volatility in business performance; what reassures them is a management group that can navigate challenges together and stay aligned on the company’s direction.

Small Details, Big Signals

It is not just the numbers or people under review. The physical environment can also make a surprising difference. One investor once raised concerns over the condition of a site’s grounds. Their issue was not the landscaping itself, but what it represented: a fear that lack of attention to detail might reflect a wider cultural issue within the business.

Removing Objections Before They Grow

These seemingly small signals can become disproportionate in the context of a deal. While leaders cannot control every factor, they can and should remove avoidable objections that risk undermining confidence in the organisation.

People as the Ultimate Asset

Ultimately, the most valuable asset in any diligence process is not captured in financial statements. It is the people leading the business forward — their capability, ambition, and ability to turn plans into results.
